Riassunto analitico
Il presente lavoro di tesi esamina la nascita e lo sviluppo di un nuovo modo di fare business non più orientato unicamente alla massimizzazione dei profitti. I recenti sviluppi nel contesto socio-economico hanno infatti reso sempre più evidente la necessità, nel condurre attività economiche, di considerare anche la società e l’ambiente in cui le aziende operano. L’interdipendenza tra società, ambiente e business risulta infatti essere necessaria per garantire uno sviluppo economico sostenibile nel lungo periodo. In primo luogo, queste considerazioni hanno assunto forma concreta attraverso l’adozione della CSR (Corporate Social Responsibility) da parte di numerose aziende. Benché si tratti di un primo passo molto significativo, la sua natura non vincolante ne ha notevolmente ridotto l’efficacia. A questo proposito, è stato deciso di rendere le suddette considerazioni parte integrante della strategia aziendale. Ciò è stato possibile prima con la certificazione B Corp e poi con l’introduzione della forma legale della Benefit Corporation. I promotori di questo movimento sono stati gli Stati Uniti e questo è dovuto anche alle peculiarità del loro sistema giuridico. Tuttavia, anche l’Italia si è dimostrata particolarmente ricettiva in questo ambito come dimostra l’elevato numero di aziende certificate B Corp. Inoltre, a partire dal 2016, l’Italia è diventato il primo stato Europeo a introdurre nel proprio sistema giuridico la Società Benefit, equivalente della Benefit Corporation americana. Una delle domande di ricerca alla base dell’intero lavoro è la seguente: questo nuovo modello di business, oltre ad apportare benefici alla comunità, è anche un modello positivo per le aziende in termini economici? La principale metodologia adottata per rispondere a questa domanda è, nella prima parte dell’elaborato, la lettura critica e l’analisi di manuali e articoli che hanno trattato questo tema. Per quanto riguarda invece la seconda parte, lo studio si focalizza sull’analisi dei dati di un’azienda operante nel contesto italiano, ovvero la Davines. Trattandosi di un’azienda che, dopo aver acquisito la certificazione B Corp, è diventata Società Benefit, fornisce un valido supporto empirico a quanto precedentemente descritto in termini teorici. I dati analizzati vengono poi presentati in ordine cronologico e con un approccio deduttivo, partendo quindi da una descrizione generale del tema per poi concludersi con l’analisi del caso concreto. Trattandosi di un fenomeno piuttosto recente è ancora troppo presto per rispondere in modo definitivo all’interrogativo iniziale. Tuttavia, sulla base dei dati analizzati è sicuramente possibile individuare una relazione positiva tra questo nuovo modello di business e le performance economiche di un’azienda, così come prevedere ulteriori sviluppi futuri.

Abstract
This dissertation examines the birth and development of a new way of doing business which is no longer exclusively oriented to profit maximization.
The recent developments in the socio-economic context have in fact emphasized the need, while carrying out economic activities, to consider also the society and the environment in which companies work. The interdependence between society, environment and business is indeed fundamental to ensure that the current economic development will be sustainable in the long term.
Firstly, these considerations materialized through the adoption of CSR (Corporate Social Responsibility) principles from several companies. Although this is a significant first step, its non-binding nature has considerably reduced its effectiveness. In this respect, it was decided to introduce the above-mentioned principles into companies’ business strategy. This was achieved first through the adoption of the B Corp certification and then through the introduction of the Benefit Corporation legal form.
The United States have been the first promoters of this movement and this is basically due to the peculiarities of their legal system. Nevertheless, also Italy turned out to be particularly proactive in this field as the great number of certified B Corps shows. Besides this, starting from 2006, Italy has become the first European country to introduce in its legal system the Società Benefit, equivalent of the American Benefit Corporation.
One of the research questions underlying the entire work is the following: this new business model, besides bringing benefits to the community, is also a positive model for companies in economic terms?
The main method adopted to answer this question is, in the first part of the paper, the critical reading and the analysis of the handbooks and articles which addressed this issue. As far as the second part is concerned, the study principally focuses on the analysis of a company operating in the Italian context, that is Davines. Since this company after acquiring the B Corp certification has also become a Società Benefit, it can provide a well-founded empirical support to what previously described only in theoretical terms.
The data analysed are then presented in chronological order and using a deductive approach, the work in fact begins with a general presentation of the issue and it ends with the analysis of a concrete case.
Being a rather recent phenomenon, it is still too early to answer in a definitive way to the initial question. Nevertheless, on the basis of the data analysed it is certainly possible to identify a positive relationship between this new model of business and a company’s economic performances, as well as predicting future developments in this field.
