Riassunto analitico
La presente tesi ha per oggetto il tema delle fusioni transfrontaliere tra società commerciali e il conseguente trasferimento della sede sociale all’estero. In particolare, l’elaborato ha lo scopo di applicare la disciplina giuridica relativa al tema sopracitato al caso specifico della fusione tra le due storiche case automobilistiche Fiat e Chrysler. Il primo capitolo è dedicato alla descrizione degli eventi storici e dei motivi che hanno portato le due società ad avvicinarsi progressivamente, fino ad arrivare al completamento della procedura di fusione nel 2014 con la nascita del nuovo gruppo Fiat Chrysler Automobiles (Gruppo FCA). Nel secondo capitolo si delineano, in primo luogo, i tratti salienti della disciplina giuridica applicabile alle fusioni transfrontaliere e il processo di fusione tra Fiat e Chrysler viene analizzato nel dettaglio. Successivamente viene approfondita la procedura di trasferimento della sede all’estero, facendo riferimento sia all’ordinamento italiano che a quello comunitario. Una particolare attenzione viene rivolta al caso dell’Olanda e alla scelta da parte del Gruppo FCA di localizzarvi la sede legale. L’elaborato si conclude con il terzo capitolo, nel quale vengono illustrate le principali caratteristiche della struttura organizzativa attuale, i mercati di riferimento e le strategie di innovazione recentemente adottate dal Gruppo.

Abstract
The aim of this work is to provide an analysis of cross-border mergers between private companies and the consequent transfer of their seat abroad. More specifically, the study will apply to the case of the merger between two of the largest and oldest car manufacturers in the world, namely Fiat and Chrysler. The first chapter is dedicated to the description of the historical events and the reasons that led the two companies to progressively reach an agreement, until the completion of the merger procedure in 2014 with the birth of Fiat Chrysler Automobiles (FCA Group). In the second chapter, the distinctive features of the discipline regulating cross-border mergers are outlined and the merger process between Fiat and Chrysler is analysed in detail together with the procedure for transferring the seat abroad, making reference to both Italian and European regulations. Particular attention is given to the case of the Netherlands and to the choice by the FCA Group to locate its registered office there. Finally, the third chapter focuses on different aspects of the corporate profile, including organizational structure, reference markets and innovation strategies recently adopted by the Group.
