Il settore dei semiconduttori è un business particolarmente innovativo in quanto aiuta ad accelerare il progresso tecnologico. Oggi nessuno può pensare una vita senza internet, smartphone ed elettricità.
Negli ultimi venti anni, l’industria dei semiconduttori ha affrontato numerose fusioni e acquisizioni, dovute agli elevati costi di ricerca e sviluppo per investire in nuovi prodotti. Inoltre, per queste aziende è difficile riuscire ad entrare in nuovi mercati dato che la concorrenza è molto elevata.

La tesi si concentra sulle fusioni e acquisizioni per ridurre costi di ricerca e sviluppo e sfruttare nuovi canali di mercato. Un esempio pratico è rappresentato da Infineon Technologies AG, azienda tedesca leader nella produzione di chip utilizzabili in numerose applicazioni come macchine industriali, pannelli solari, telefonia e server.

Per la redazione di questa tesi sono stati utilizzati libri, articoli, interviste ed esperienza personale. Questa ricerca è suddivisa in due parti. La prima parte affronta il tema relativo ai diversi tipi di innovazione e alle pratiche che le aziende possono utilizzare per sfruttare al meglio il lavoro di ricerca e sviluppo. Particolare attenzione viene data alle fusioni e acquisizioni essendo una delle strategie più utilizzate dal business analizzato. La seconda parte si focalizza sull’analisi dell’industria dei semiconduttori e sul caso di Infineon Technologies AG.

L’obiettivo della ricerca è quello di dimostrare, grazie al caso presentato e ai numerosi esempi aziendali, che le aziende di questa industria acquisiscono concorrenti per evitare di investire in nuovi prodotti che richiedono tempo e investimenti per entrare in nuovi mercati. Tuttavia, i rischi di fallimento nella procedura di acquisizione sono sempre presenti soprattutto in presenza di politiche protezionistiche.

The semiconductor business is an innovative sector that helps to accelerate the technological progress. Nobody can think of a life without internet, smartphone, and electricity. In the last twenty years, the semiconductor business has faced numerous mergers and acquisitions. High costs and investments are the result of increased demand for powerful products and solutions. Furthermore, high competition comes along with this new business sector and for firms it’s getting more difficult to enter this market. Due to that reason, this thesis will focus on mergers and acquisitions in order to reduce research and development costs as well as exploiting new market channels exemplified by Infineon Technologies AG. Therefore, this scientific work is divided into two parts. While the first part is related to innovation and M&A, the second section deals with the semiconductor business and the case study of Infineon Technologies AG. By the help of a literature review, interviews, and personal experience it turned out, that within the semiconductor business mergers and acquisitions are used to reduce research and development costs. Moreover, the case study outlines that mergers and acquisitions are efficient tools to enter new markets. However, successful acquisitions are not ordinary events, as risks and challenges are going hand in hand with this method.
