Riassunto analitico
L’operazione di scissione, regolata dagli articoli 2506 e seguenti del codice civile, disciplina il trasferimento di un complesso aziendale da una società denominata scissa ad una o più società denominate beneficiarie. Tale operazione può prevedere molteplici situazioni che variano a seconda della forma di scissione utilizzata (totale o parziale), della/e società beneficiaria/e (pre-esistenti o di nuova costituzione) e delle azioni o quote attribuite ai soci della società scissa, i quali possono mantenere la stessa partecipazione posseduta ante-scissione (scissione proporzionale) ovvero modificare tale partecipazione (scissione non proporzionale). In questa sede, il sottoscritto, ha analizzato l’istituto della scissione nella totalità degli aspetti che la caratterizzano, arricchendo tale analisi attraverso lo studio di una operazione di scissione realmente effettuata. Nella descrizione dell’operazione vengono approfonditi gli aspetti civilistici, contabili e fiscali legati alla scissione di società, integrati con tematiche odierne e novità recenti quali l’abuso del diritto ed in particolare l’art. 10-bis della L. 212/2000 ed il tema della responsabilità solidale integrata con l’analisi dell’art. 14 D.Lgs 472/42. Il caso esaminato descrive una scissione parziale proporzionale con gemmazione di nuova società. Nella scelta del caso si è cercato di individuare una situazione che racchiudesse al suo interno particolarità singolari da esaminare in questa relazione, col fine di valorizzare tutti i molteplici aspetti di cui il complesso fenomeno giuridico ed economico si compone. Le peculiarità del caso tratta le tematiche del consolidato fiscale, delle azioni proprie e delle imposte differite in aggiunta alla descrizione accurata delle motivazioni che hanno portato alla scelta dell’operazione, del suo svolgimento e delle difficoltà riscontrate. Nel caso in esame la società scissa è consolidante di un gruppo e, in seguito all’operazione di scissione, sono analizzati i requisiti per la permanenza nella tassazione di gruppo e l’eventuale uscita del ramo societario trasferito nella beneficiaria di nuova costituzione. Relativamente alla tematica delle imposte differite il sottoscritto si è soffermato sulla modifica dell’aliquota Ires, che attualmente è pari al 27,5%, ma dal 1 Gennaio 2017 diventerà pari al 24%. Ciò comporterà un ricalcolo dei fondi stanziati a seguito di imposte anticipate e differite, provocando un “vantaggio” per la società che presenta in bilancio un fondo imposte differite ed uno “svantaggio” per la società che presenta in bilancio crediti per imposte anticipate. Tale valutazione, a fronte del fondo imposte differite presente nella situazione della beneficiaria post-scissione, ha permesso di riscontrare una sopravvenienza attiva di cui potrà godere la società a fronte della modifica dettata dalla Legge di Stabilità 2016. Infine, si è descritto il D.Lgs 18 agosto 2015 n. 139 che impone, a partire dal bilancio 2016, l’eliminazione dall’attivo di bilancio della voce “azioni proprie” che il legislatore italiano aveva scelto di esporre nell’attivo di bilancio prevedendo tra le riserve di patrimonio netto una equivalente posta correttiva del valore di tali attività. Viene di conseguenza abrogato l’attuale terzo comma dell’art. 2357-ter, sostituendolo con il seguente: “L’acquisto di azioni proprie comporta una riduzione del patrimonio netto di uguale importo, tramite l’iscrizione nel passivo del bilancio di una specifica voce con segno negativo”. Giacché sono oggetto di “spacchettamento” azioni proprie possedute dalla società scissa, si è voluto analizzare la situazione che la scissa e la beneficiaria riscontreranno a decorrere dall’anno successivo.

Abstract
The de-merger operation of companies, regulated by Articles 2506 and following of the Italian Civil Code, disciplines the transfer of a business complex into two or more distinct run companies.
Such operation can evolve in multiple different situations that could change, according either to the de-merger form used (total or partial), or to the recipient company/ies (pre-existing or newly established ones), and to the shares attributed to the shareholders of the de-merged company, who can maintain the same shareholding owned before the de-merged operation (proportional de-merger) or modify it (non-proportional de-merger).
In this dissertation I analyzed the de-merger operation in the totality of the aspects that characterize it, enhancing such analysis through the study of a de-merger operation de facto carried out.
The operation description goes into the civil, accounting, and fiscal aspects related to the division of companies, completed with current themes and latest development, such as the misuse of the right and in particular of the art. 10-bis of the L. 212/2000, and the joint liability issue with the analysis of the art.14 L.gs D. 472/42.
The examined case describes a proportional partial de-merger operation with the creation of a brand new company. In the chosen case I have tried to find a situation with singular peculiarities to be examined in this dissertation, in order to add value to all the various aspects of which the complex legal and economic phenomenon is made.
The peculiarities of the case are the matters of tax consolidation, of one’s own shares, and of deferred taxes, in addition to the accurate description of the reasons that led to the choice of such operation, of its progress and of difficulties encountered.
In this case the recipient company is the consolidating one of a group of companies and, after the de-merger operation, I have analyzed the essential requirements to remain in the group taxation and the eventual exit of the company branch transferred to the brand new company.
For what concerns the deferred taxes I have focused my attention on the change of the Ires rate, which is currently at 27,5% but from the 1st of January 2017 will be set at 24%. This will cause a recalculation of the funds allocated as a result of deferred or anticipated taxes, implying an “advantage” for the company that presents in the balance sheet a fund of deferred taxes, and a "disadvantage" for the company that presents in the balance credits for anticipated taxes.
This assessment, with reference to the deferred taxes fund of the brand new company after the de-merger operation, revealed a windfall profit from which the company could benefit, in the context of a modification dictated by the Stability Law in 2016.
Finally, I have described the Legislative Decree of the 18th of August 2015 n. 139 which requires, starting from the balance sheet of 2016, the elimination of the item "Treasury Shares" that the Italian legislator had chosen to express, as previously indicated, in the assets side providing among the equity capital and reserves an equivalent adjustment of the value of these assets. As a consequence, the current third paragraph of the art. 2357 is abrogated and replaced by the following: "The purchase of own shares involves a reduction in equity of the same amount in the liabilities side of the balance sheet of a specific item deducted".
Since they are subject of "splitting" own shares held by the recipient company, I wanted to analyze the situation that the recipient and the brand new company will come upon starting from the following year.
