Riassunto analitico
La tesi si occupa della disciplina del concordato preventivo, con particolare riferimento al difficile equilibrio tra l’autonomia privata affidata alle parti nella gestione della crisi d’impresa e il controllo giurisdizionale tuttora esistente, benché ridimensionato, volto a garantire non solo la regolarità della procedura, ma anche gli interessi pubblicistici sottesi, nonché i diritti dei soggetti vincolati -loro malgrado- dalla decisione della maggioranza dei creditori. Il lavoro di ricerca si sviluppa dall’analisi delle molteplici riforme legislative che hanno profondamente modificato la fisionomia dell’istituto, al fine di comprenderne innanzitutto l’attuale natura. Si è cercato poi di verificare da una parte l’oggettivo ampliamento del potere di autonomia riconosciuto all’imprenditore in crisi, e, dall’altra, i corrispettivi limiti e controlli fissati dall’ordinamento e affidati in primis all’autorità giudiziaria, anche al fine di evitare usi opportunistici dello strumento concordatario. La prassi ha infatti fatto registrare, soprattutto a seguito delle recenti modifiche legislative apportate al concordato preventivo nel 2012, frequenti usi distorti della procedura, che si sono analizzati, e che hanno condotto i tribunali a ricorrere all’istituto dell’abuso del diritto.

Abstract
This thesis deals with the regulation concerning composition with creditors, with particular reference to the difficult balance between private autonomy entrusted to the parties for managing enterprise crisis and the jurisdictional control that still exists today (although it is has been scaled down), aimed at ensuring the regularity of the procedure as well as the implied public law interests and the rights of those bound - against their will - by the decision of the majority of the creditors.
This research stems from the analysis of the plurality of legislative reforms that have deeply modified the law complex regulating the legal topic in question, with the aim of understanding, above all, its current nature. Subsequently, an attempt was made to verify on the one hand, the objective broadening of the power of autonomy entitled to the entrepreneur in crisis and on the other hand, the corresponding limits and controls set forth by the regulation and entrusted in primis to the judicial authority, also for the purpose of preventing opportunistic uses of the composition tool. In fact, common practice gave rise to large distortion of the procedure at issue, which is mostly a consequence of the recent amendments to the composition with creditors made in 2012, cases herewith analysed, that caused courts to resort to the abuse-of-rights institution.
